Since 2017, foreign-owned U.S. single-member LLCs treated as disregarded entities have been required to file Form 5472 to report transactions with their foreign owner and related parties. The requirement applies even when the LLC has no income or activity. Missing the filing, or submitting it late, triggers a penalty of $25,000 per form.

Many foreign founders form a U.S. LLC to access payment processors, marketplaces, or U.S. customers without realizing the annual reporting obligation attached to it. Professional preparation of these forms is often priced as a full accounting engagement, which is disproportionate for an entity that may be dormant or have only a handful of reportable transactions.
